partnership agreement with UAP Inc. to upgrade the administrative power of its
400 associate partners in Canada.
As a result of the agreement with ADP, the largest Canadian provider of
employer services, UAP Inc. now offers its associate partners access to ADP's
expertise in payroll management at a preferential rate. Associate partners may
also select other ADP value-added services such as human resources information
and time and labour management.

ADP will offer UAP associate partners payroll processing services (via
phone, fax or Internet) as well as other services such as the preparation of
year-end employee tax forms, year end tax reports, Records of Employment
(ROEs) and other indispensable employer services.
