VANCOUVER, Jan. 14 /CNW/ - CMS Acquisition Corporation, a member of the
Solarsoft Business Systems group (collectively, "Solarsoft"), is pleased to
announce that as of 11:59 p.m. (Vancouver time) on January 11, 2008,
14,113,046 common shares of VantagePoint Systems, Inc. ("VantagePoint") had
been validly deposited pursuant to the previously announced offer by Solarsoft
to acquire all of the issued and outstanding common shares of VantagePoint
(the "Common Shares") at a price of US$0.70 per share. The deposited Common
Shares represent 97.03% of the issued and outstanding Common Shares.
Solarsoft intends to exercise its statutory rights under the Business
Corporations Act (British Columbia) to compulsorily acquire the remaining
Common Shares that were not deposited pursuant to the offer. Solarsoft also
intends to cause VantagePoint to de-list the Common Shares from the TSX
Venture Exchange and to apply to securities regulatory authorities for it to
cease to be a reporting issuer.
