Scotia Learning Centres Incorporated announces investment in Royal Host Inc.

TORONTO, Oct. 6, 2011 /CNW/ - On October 5, 2011, Scotia Learning Centres Incorporated ("SLC") acquired 560,700 common shares of Royal Host Inc. ("Royal Host") at a price of $1.00 per common share, representing 3.2% of the outstanding common shares of Royal Host. Immediately after the transaction, SLC owns 560,700 common shares, $173,000 principal amount of 6.00% convertible debentures maturing October 30, 2015, $177,000 principal amount of Series C Debentures and $120,000 principal amount of 5.90% convertible debentures maturing June 30, 2014. On an as converted basis, such securities represent an aggregate of 3.7% of the common shares.

On an aggregate basis, Simé Armoyan, the indirect owner of SLC, members of her family with whom she resides, including George Armoyan, and Geosam Capital Inc., a company controlled by George Armoyan, own, directly or indirectly, 1,036,000 common shares, $4,685,400 principal amount of 6.00% convertible debentures maturing October 30, 2015, $2,365,000 principal amount of 6.25% convertible debentures maturing September 30, 2013 and $1,821,000 principal amount of 5.90% convertible debentures maturing June 30, 2014. On an as converted basis, such securities represent an aggregate of 15.9% of the common shares.

SLC purchased the common shares through the facilities of the Toronto Stock Exchange for investment purposes. Simé Armoyan, the indirect owner of SLC, members of her family with whom she resides, including George Armoyan, and Geosam Capital Inc., a company controlled by George Armoyan, may, directly or indirectly, acquire additional securities of Royal Host, dispose of some or all of the existing or additional securities of Royal Host, or continue to hold securities of Royal Host in the normal course of their investment activities. The issuance of this news release does not constitute an admission by any of such persons that it is acting jointly or in concert with any other of such persons with respect to securities of Royal Host.
