Prestige Telecom Inc. Appoints Lead Director and Officers, Grants Options

    MONTREAL, Nov. 2 /CNW Telbec/ - Prestige Telecom Inc. (TSX Venture: PR-V)
("Prestige") is pleased to announce that its Board of Directors have made the
following appointments of officers: Martin Cauchon to hold the office of Lead
Director, Mark Goldman to hold the office of Senior Vice President and General
Manager, Operations, and Elisabeth Preston to hold the office of Corporate
Secretary and Chief Compliance Officer.
    The Lead Director of Prestige is an outside and unrelated director
appointed by the Board of Directors to ensure that the Board can perform its
duties in an effective and efficient manner independent of management. The
appointment of a Lead Director is part of Prestige's ongoing commitment to
good corporate governance. Martin Cauchon is a lawyer with a leading law firm,
having retired from a distinguished political career during which he held many
pivotal cabinet positions. These included Secretary of State (Economic
Development Agency of Canada for the Regions of Québec) from January 1996 to
January 2002, Minister of National Revenue from August 1999 to January 2002,
Minister of Justice and Attorney General of Canada from January 2002 to
December 2003, as well as Minister with political responsibility for Québec
during that same period.
    Options have also been granted to certain officers and directors at an
exercise price of $0.85 per share as follows: Pierre-Yves Methot Chairman and
CEO (200,000), Chahram Bolouri, director (100,000), Michael Pesner, director
(100,000), Robert Neal, director (100,000), Jean-Pierre Veilleux, director
(100,000), Martin Cauchon, lead director and head of Governance and
Compensation Committee (100,000), Clément Joly, director and head of the Audit
Committee (100,000), Brian McFadden, President and COO (100,000), Michel
Brunet, CFO (100,000), Mark Goldman, Senior Vice President and General
Manager, Operations, (50,000), Stewart Beatty , Senior Vice President,
Engineering Services, (87,500), Steve Rouleau Vice President, Sales and
Marketing, (75,000), Andre Carrier Vice President, Products (75,000),
Elisabeth Preston Corporate Secretary and Chief Compliance Officer (100,000).
An additional 850,000 options have been granted at the same exercise price to
other employees of Prestige. There are currently 46,090,000 common shares
