OmniGlobe Networks acquires the UK-based satellite communications company Bandwidth Technologies International Group

MONTREAL, Feb. 19 /CNW Telbec/ - OmniGlobe Networks, Inc., the global
telecommunications company specialized in delivering cellular, broadband
Internet and VoIP services, announces that it has acquired Bandwidth
Technologies International Group Limited (BTIG), the UK-based international
provider of satellite communications systems.
In an all-cash transaction, OmniGlobe Networks, the privately-held
Canadian group, acquired the entire equity of BTIG including its principal
trading subsidiary L-TEQ Limited. For contractual reasons, the legal company
name L-TEQ will remain. However the BTIG and L-TEQ management, staff, offices
and technical centre in Frimley, Hampshire, England will, with immediate
effect, become known as the newly formed OmniGlobe International Satellite
Communications Division. The Frimley based business will become the operations
and sales centre for OmniGlobe's planned expansion of its existing business in
the Middle East and Africa. Mr David Harper, former Managing Director of L-TEQ
Ltd becomes Managing Director of OmniGlobe in the UK and head of OmniGlobe's
International Satellite Communications division. Similarly, Mr David Bookham,
Technical Director of L-TEQ Ltd becomes Technical Director of OmniGlobe in the
UK and of the new division.
OmniGlobe Networks specialises in the provision of telecommunications
services in areas of the world where the conventional telecommunications
infrastructure is often nonexistent. Its solution, which consists of deploying
wireless Internet and cellular services using an innovative combination of
satellite-backhaul infrastructure and its own proprietary software, provides
instant reliable and affordable communication services to domestic consumers,
companies, government agencies and private institutions. The World Bank has
recognised OmniGlobe's approach and in-house developed technologies as optimal
for rural communities.
With a successful 23-year history of expertise, L-TEQ has a respected
reputation for the design, integration, testing, installation and
commissioning of satellite communications systems ranging from highly complex
Very Small Aperture Terminal (VSAT) systems up to very large antennas. The
company's premises, near Farnborough, incorporate a pre and post
implementation training and service repair centre. L-TEQ's executive and
engineering management are security cleared and their work on military and
government projects has necessitated systems to be designed for use often in
challenging environments. The company has completed projects in over
70 countries around the world.
OmniGlobe's CEO Dr. Jason Neale commented, "In a single step, we've
acquired a world class engineering management team, a highly valuable and
long-term customer base to whom we can now offer a wide range of additional
complementary services, an operational centre in a European time zone to
underpin and expand our existing Middle Eastern and African activities, and a
healthy and growing enterprise that will contribute strongly to OmniGlobe's
already fast growth".
Julian Costley, OmniGlobe's chairman added, "Although OmniGlobe was only
formed in 2004, it is already cash generative, profitable and is growing very
fast organically. Our international private shareholders and institutional
investors in Canada, which include the BDC, continue to support our plans as
we seek other acquisitions in our chosen geographic territories and in the
wireless, cellular, and satellite technology sectors. Based upon information
from the International Telecommunication Union, the Organisation for Economic
Co-operation and Development as well as our own research data, we expect that
satellite combined with wireless in rural areas will become a potential
$22.7bn global market and we must therefore gear up fast to claim a
significant share".
Dr. John Forrest, former CEO of NTL and now OmniGlobe's Deputy Chairman
and adviser played a significant role in identifying the strategic synergies
of combining OmniGlobe's digital communications expertise with L-TEQ's
know-how in "RF" system design. In a recent statement, he remarked that "the
key to success will be leading technical innovation, an efficient organisation
to effect operational execution around the world, and positioning ourselves at
the very top end of service quality. By acquiring BTIG and with it the L-TEQ
team, we've made an enormous leap forward towards our vision of being the
world's No.1 rural telecommunications provider".
