that it had signed a contract with Carlaris, Inc. for it to provide financial

Barry Hall brings a strong accounting and financial background with more
than twenty-five years in senior executive roles in technology companies. Mr.

EarthLink Network from 1996 to 1997, from its start-up through initial public
offering. He also served as Chairman and Chief Executive Officer of
California Amplifier, Inc. from 1989 to 1994, a publicly-held manufacturer of
satellite television and wireless cable amplifiers. Mr. Hall's other career
highlights include serving as Chief Financial Officer and Chief Operations
Officer of Microwave Photonics, and as Executive Vice President and Chief
Financial Officer of Styleclick, Inc. prior to and after its purchase by USA
Networks. Mr. Hall was also Vice President Finance and Chief Financial
Officer of LA Cellular from 1987 to 1989, and was Vice President Finance and
Treasurer, Chief Financial Officer of Applied Solar Energy Corporation, a
manufacturer of solar cells and solar panels for satellites and space
applications from 1983 to 1987. At Applied Solar Energy Corporation he
completed the company's initial public offering and the sale of the company to
Stauffer Chemical Company.
