D-Fense Capital Ltd - Update concerning the current situation of D-Fense Capital Ltd

    MONTREAL, Sept. 7 /CNW Telbec/ - The management of D-Fense Capital Ltd
(the "Corporation") (TSX Venture Exchange: DFC.P) is happy to announce that
its securities will, as of September 11, 2007, be once again traded on the
TSX Venture Exchange (the "Exchange").
    Although these securities will be traded on the Exchange, their trade
shall once again be halted on September 17, 2007 prior to the opening of the
market as the Corporation will have failed to complete a qualifying
transaction prior to September 15, 2007, date of the second anniversary of its
listing on the Exchange.
    The management of the Corporation determined that it was important that
the Corporation's securities be once again listed for trade in order to
establish a reference value for the shares for the purposes of a future
qualifying transaction.
    At the annual and special general meeting of the shareholders of the
Corporation, held in Montreal on August 29, 2007, Messrs Robert Ayotte,
Pierre Forget, Michel Lesage, Robert Talbot and Christian Perrier, were
elected as directors of the Corporation and ratified the change in management
that resulted therefrom.
    The shareholders also approved the transfer of the listing and trade of
the securities of the Corporation to the NEX, subject to the completion of a
qualifying transaction of the Corporation prior to the expiration of the
delays required by the Exchange. The transfer of the securities of the
Corporation to the NEX will result in the cancellation 477,500 seed shares
issued for a consideration of $0.10 per share, without the repayment of the
share capital that they represent.
    In compliance with the vote of the shareholders, the directors elected
Mr Christian Perrier as president of the Corporation and Mr Robert Talbot as
the secretary-treasurer of the Corporation and confirmed the mandates of
Messrs Robert Ayotte, Pierre Forget and Robert Talbot as members of the audit
committee of the Corporation.
    As agreed with the Exchange, and to satisfy its requirements qualifying
the directors, Robert Ayotte, Pierre Forget and Christian Perrier directly or
indirectly subscribed to 100,000 common shares of the Corporation in
consideration of the sum of $20,000 for a consideration of $0.20 per share by
way of a private placement and is subject to final approval of the Exchange.
