filed a registration statement with the Securities and Exchange Commission
relating to the proposed initial public offering of its common stock. The
shares of common stock to be sold in the offering are expected to be offered
by Convio and certain of its stockholders.
Goldman, Sachs & Co. will act as sole book-running manager for the
proposed offering. Thomas Weisel Partners LLC will act as joint lead manager
and William Blair and Company, JMP Securities LLC and Pacific Crest Securities
Inc., will act as co-managers. The number of shares to be sold and the price
range for the proposed offering have not yet been determined.
A registration statement relating to these securities has been filed with
the Securities and Exchange Commission but has not yet become effective. These
