Cirrus Energy Corporation announces closing of "bought deal" financing


    CALGARY, Aug. 23 /CNW/ - Cirrus Energy Corporation (TSXV: CYR) (the
"Company") is pleased to announce that it has closed its previously announced
short form prospectus offering of common shares ("Common Shares") of the
Company (the "Offering") through a syndicate of underwriters led by Tristone
Capital Inc. and including Clarus Securities Inc. and Jennings Capital Inc.,
resulting in gross proceeds of $35,132,500. The Offering consisted of
14,950,000 Common Shares issued at a price of $2.35 per share. The Company
intends to use the estimated net proceeds of approximately $32.8 million from
the Offering to fund the exploration and development of its international oil
and gas assets. The Offering included 1,950,000 Common Shares which were
issued upon the exercise, in full, of an over-allotment option which was
granted by the Company to the underwriters.

    Of the 14,950,000 Common Shares issued pursuant to the Offering,
approximately 0.5% were purchased by insiders of the Company.
