TORONTO, June 22 /CNW/ - Arias Resource Capital Fund L.P. (the "Fund"),
announced that it acquired 3,685,600 units of Dia Bras Exploration Inc.
(TSX-V: DIB) (the "Company") at a price of C$0.05 per unit (each a "Unit"), by
way of a non-brokered private placement transaction that closed on June 18,
2009. Each Unit is comprised of one common share of the Company (a "Common
Share") and one Common Share purchase warrant (each a "Warrant") exercisable
for one Common Share at an exercise price of $0.10 per share at any time
during the thirty month period following the closing date.
Taking into account the closing of the private placement transaction, the
Company now has 232,640,087 Common Shares issued and outstanding. The
3,685,600 Common Shares acquired by the Fund represent 1.58% of such
outstanding shares. The Fund now owns a total of 89,324,727 Common Shares
representing approximately 38.40% of the issued and outstanding Common Shares.
The Fund also owns an aggregate of 78,781,227 warrants each exercisable for
one Common Share at exercise prices ranging from C$0.10 per share to C$0.20
per share. The Fund's Common Shares and warrants represent approximately
53.98% the issued capital of the Company calculated on a partially diluted
