the Company has an option to acquire up to a 75% interest in 9 property
patents covering approximately 120 hectares in Carscallen Township, near
Timmins, Ontario (the 'Property'). Newcastle has an option to acquire a 100%
interest in the Property pursuant to a December 15, 2009 agreement with
Timmins Forest Products Ltd. ('TFP') and the Company will make certain
payments to Newcastle as well as assume certain payment obligations under the
agreement with TFP.
    For the Company to earn a 50% interest, the consideration is as follows:
