revised as follows: i) payment of $12,500 in cash; and ii) payment of the

and RS Gold, LLC (Randall Stoeberl), whereby the Company has the option to
acquire a 100% interest in 162 unpatented mining claims of the Twin Springs SS
project located in Pershing County, Nevada.
    The lease has a term of 20 years. Total consideration regarding the lease
consists of $5,000 in cash, 6,000 shares of the Company. In addition, the
Company must make advance royalty payments of $10,000 on the first
anniversary, $20,000 on the second anniversary, $30,000 on the third
anniversary, $40,000 on the fourth anniversary, and for each year of the lease
thereafter $50,000.
    The Company has the option to purchase a 100% interest in the property at
any time during the term of the lease for $3,000,000. If the Company exercises
its option to purchase the property, there is a 1% royalty on gold, silver,
and platinum group metals.
