Brazore's business plan entails the acquisition of the Property, construction and operation of an iron ore trans-shipping facility (rail to sea) on the Property, and the acquisition of iron mining operations in the State of Minas Gerais. The Company has also entered into a finder's fee agreement with Alper Consulting Inc. ("Alper") dated October 20, 2006 pursuant to which the Company will pay Alper a finder's fee of up to a maximum of $350,000 in connection with Alper having assisted in securing the joint venture with Athena Resources L.L.C.
