    TSX Venture Exchange has accepted for filing Avalanche Networks
Corporation's (the 'Company') Change of Business (the 'COB') and related
transactions, all as principally described in its Filing Statement dated
August 28, 2007 (the 'Filing Statement'). The COB includes the following
matters, all of which have been accepted by the Exchange:

    1. Acquisition of 100% interest in Project E

    Pursuant to an option agreement (the 'Option Agreement') dated December
12, 2006 (as amended) between the Company and Carlos Arias ('Arias') of Quito,
Ecuador, the Company has acquired an option to purchase a group of mining
concessions under the names of E1 through E18 ('Project E') located in the
Province of Pinchincha, Republic of Ecuador.
    Under the Option Agreement and as consideration for the option, the
Company must

    (i)    pay Arias US$18,000 (all of which has been paid) which represents
           taxes required to be paid in order to secure title to Project E;

    (ii)   pay Arias US$50,000 upon receipt by the Company of a due diligence
           report confirming that title to Project E is in good standing
           ('First Condition') and title having been transferred to the
           Company or its subsidiary ('Second Condition') (the First
           Condition and Second Condition, collectively the 'Conditions');

    (iii)  issue to Arias 1,000,000 common shares of the Company upon the
           later of this bulletin and the Conditions being met;

    (iv)   issue to Arias 500,000 common shares of the Company within six
           months of the Conditions being met; and

    (v)    issue to Arias 500,000 common shares of the Company within twelve
           months of the Conditions being met.

    Insider/Pro Group Participation: None. At the time the transaction was
agreed to, the Company was at arm's length to Arias.

    The Exchange has been advised that the above transaction has been
completed. The full particulars of the Company's acquisition of its interest
in Project E are set forth in the Filing Statement, which has been accepted
for filing by the TSX Venture Exchange and which is available under the
Company's profile on SEDAR.

    2. Name Change:

    Pursuant to a resolution passed by shareholders , the Company has changed
its name to Avalanche Minerals Ltd. There is no consolidation of capital.
    Effective at the opening on Friday, September 14, 2007, the common shares
of Avalanche Minerals Ltd. will commence trading on TSX Venture Exchange, and
the common shares of Avalanche Networks Corporation will be delisted. The
Company is classified as an "Mining Company".
