that in certain circumstances the Exchange may later extend the expiry date of
the warrants, if they are less than the maximum permitted term.

    Company Tier Reclassification:

    In accordance with Policy 2.5, the Company has met the requirements for a
Tier 1 company. Therefore, effective June 7, 2007, the Company's Tier

    Effective at the opening, June 7, 2007, the common shares of the Company
will resume trading. TSX Venture Exchange has been advised that all the
closing conditions have been met for the completion of the Change of Business
as accepted for filing by way of bulletin dated June 1, 2007. In summary, the
terms are restated as follows:
    TSX Venture Exchange accepted for filing the Company's Change of Business
which involves the Company's option to acquire a 50.1% interest in certain
leases (the "Roche Bay Magnetite Project") located near Roche Bay, on the
eastern Melville Peninsula, within the District of Granklin, Nunavut Territory
from Roche Bay Plc pursuant to an option agreement between the Company and
Roche Bay dated January 29, 2007.
    Under the Agreement, the Company must pay Roche Bay $250,000 within 5 days
following acceptance of the transaction by the Exchange and issue 12,000,000
Rights to Roche Bay upon Exchange approval. Of the 12,000,000 Rights issued,
8,000,000 Rights will have an exercise price of $0.35 per Right and shall be
effective upon issuance, 2,000,000 Rights will have an exercise price of $0.60
per Right and be effective upon completion of 15,000 meters of drilling.
2,000,000 Rights will have an exercise price of $1.00 per Right and be
effective upon the completion of both (a) a total of 30,000 meters of drilling
and (b) a NI 43-101 compliant pre-feasibility study based on an envisioned
minimum 6 million tonnes per year mining operation containing a resource
estimate of at least 750,000,000 tonnes on iron ore in the aggregate among the
"measured" and "indicated categories.
    Each Right will entitle the holder to purchase one common shares of the
Company within a period of 3 years after the effective date of issue.

    Correction to Finder's Fees:

    Further to the Exchange bulletins dated June 1 and June 4, 2007, the
following finders' fees have been revised:

    D & D Securities Company will receive an Advisory Fee of $111,500 and a
cash commission of $124,880. In addition, D & D will receive 545,480 non
flow-through Broker Warrants that are exercisable into common shares at $1.25
per share and 37,854 flow-through Broker Warrants that are exercisable into
common shares at $1.50 per share for a two year period.

    Haywood Securities will receive a cash commission of $1,200 and 960 non
flow-through Broker Warrants exercisable into common shares at $1.25 per share
for a two year period.
