OTTAWA, Dec. 20 /CNW Telbec/ - Tarquin Group Inc. (TSX Venture : TQN)
today announced that it will file a Revised Business Acquisition Report
relating to its acquisition of Dipix Technologies Inc. in May of 2007.
As a result of work completed since the original date of filing of the
Business Acquisition Report and the impact that such work has had on the
figures and estimates used by Tarquin Group in preparing the pro forma
financial statements previously contained in the Business Acquisition Report,
Tarquin will revise the pro forma statements contained in the Business
Acquisition Report in the interests of providing the best available
information to the public.
The purchase price of the acquisition of Dipix Technologies Inc. was
originally calculated based on the balance sheet values as at the transaction
date of May 22, 2007. This has been amended to reflect a purchase price
allocation as if the transaction had occurred on April 1, 2006.
The pro-forma statements originally estimated amounts for adjustments
anticipated in the integration of Dipix Technologies Inc. Further to the
actual integration process, these estimates were adjusted to reflect further
information disclosed in the normal course of integrating the operations into

statements attached to the Business Acquisition Report, which changes are
described in detail in the Revised Business Acquisition Report which will be
