Pension fund clients of Shell Asset Management Company B.V. acquire 74,000,000 common shares of Azure Dynamic Corporation through participation in offering



    RIJSWIJK, The Netherlands, Aug. 29 /CNW/ - Shell Asset Management Company
B.V. ("SAMCo") today announced that SAMCo has acquired control and direction
over 74,000,000 common shares ("Common Shares") of Azure Dynamics Corporation
("Azure") issued to three pension funds whose assets are managed by SAMCo at a
purchase price of Cdn.$0.25 per Common Share, or Cdn.$18,500,000 in the
aggregate, pursuant to Azure's previously announced private placement offering
(the "Offering").
    SAMCo is the asset manager of three pension funds (the "Pension Funds"),
which acquired 27,750,000, 18,500,000 and 27,500,000 Common Shares,
respectively, under the Offering.  Accordingly, upon completion of the
Offering, the Pension Funds collectively exercise ownership over, and SAMCo
exercises discretion and control on their behalf over, an aggregate of
74,000,000 Common Shares. On completion of the Offering and based on a total
of 379,376,177 Common Shares outstanding as at August 27, 2008 (as disclosed
by Azure to SAMCo), the percentage of Common Shares controlled by SAMCo on
behalf of the Pension Funds is 19.5% of the issued and outstanding Common
Shares of Azure as at August 27, 2008.
    On behalf of the Pension Funds SAMCo acquired control and direction over
the 74,000,000 Common Shares acquired by the Pension Funds pursuant to the
Offering for investment purposes only.  SAMCo may in the future take such
actions on behalf of the Pension Funds in respect of its holdings of Common
Shares of Azure as it deems appropriate in light of circumstances then
existing and in the interests of the Pension Funds, including the acquisition
or disposition of Common Shares of Azure. On behalf of the Pension Funds SAMCo
may from time to time acquire additional Common Shares in the open market or
in privately negotiated transactions, subject to (i) availability of Common
Shares at prices deemed favourable, (ii) Azure's business or financial
condition and (iii) other factors and conditions SAMCo deems appropriate. In
addition, SAMCo may on behalf of the Pension Funds formulate other purposes,
plans or proposals regarding Azure or any of its securities to the extent
deemed advisable in light of general investment and trading policies, market
conditions or other factors.

named in this news release is a joint actor with any other entity named in
this news release.
