VANCOUVER, June 15 /CNW/ - The Pacific Road Resources Funds ("PRRF") are
pleased to announce that, further to the press release issued by Timmins Gold
Corp. (the "Company") on June 1, 2009, the parties have executed definitive
subscription agreements (each a "Subscription Agreement") with the Company
providing for the purchase by PRRF of 7,470,060 units at a price of $0.40 per
unit, each unit consisting of one common share and one-half common share
purchase warrant. Each whole warrant will be exercisable for an additional
common share at an exercise price of $0.60 per share for a period of one year.
Based on the subscriptions for units by other investors, PRRF will not
increase its proportionate share holdings in the Company.
Following closing of the transaction, PRRF will hold 11,470,060 common
shares and 11,000,000 Convertible Preference Shares in the Company,
representing approximately 19.6% of the Company's common shares.
PRRF purchased the securities for investment purposes and may or may not
purchase or sell securities of the Company in the future on the open market or
in private transactions, depending on market conditions and other factors.
