VANCOUVER, July 3 /CNW/ - Nicer Canada Corp. (TSXV: NC) ("Nicer", or the
"Company") today announced it has been advised by the TSX Venture Exchange
that the above-captioned transaction is acceptable, subject to the following
1. $3.3 million dollars of the purchase price of $5.5 million shall be
paid in cash. Accordingly, satisfactory documentation and the
applicable fees relating to the proposed private placement, which is
to be completed to finance the cash payment, is to be submitted.
Also, a satisfactory review of the placees will be required.
2. The value of the shares to be issued is $2.2 million (i.e. in
addition to the private placement shares), and applicable fees to be
paid to the TSX Venture Exchange.
