Dynatec to Hold Special and Annual Shareholder Meetings on June 8, 2007



    RICHMOND HILL, ON, April 27 /CNW/ - Dynatec Corporation (TSX - DY)
("Dynatec") today announced that it will hold a Special Meeting of
Shareholders on June 8, 2007 at 1:30 p.m. for the purpose of considering for
approval a transaction proposed by Sherritt International Corporation   (TSX -
S) ("Sherritt") that would result in Sherritt acquiring all of the issued and
outstanding common shares of Dynatec pursuant to a plan of arrangement. The
terms of the proposed transaction were outlined in a joint Sherritt-Dynatec
press release dated April 20, 2007 and will be detailed in a Management
Information Circular to be mailed to shareholders in connection with the
Special Meeting. Dynatec's Board of Directors has unanimously agreed to
support the proposed transaction and to recommend that Dynatec shareholders
vote in favour of the proposed transaction. The meeting will be held at the
TSX Broadcast Centre - Gallery, The Exchange Tower, 130 King Street West,
Toronto, Ontario.
    Dynatec also announced today that the Company's Annual and Special
Meeting of Shareholders, which had originally been scheduled for May 10, 2007,
will now be held on June 8, 2007, immediately following, and at the same
location as, the Special Meeting to consider the proposed transaction with
Sherritt.
