directors of Mr. Robert McFarlane. The resignation took effect on February 19,
"Bob has been a valuable Board member, providing great insight, support
and tremendous advice as we navigated challenges over the past three years.
His devoted service and professionalism will be deeply missed. On behalf of

Mr. McFarlane was originally appointed to the Board and as Chairman of
the Audit Committee in March 2005. Due to the vacancy created by Mr.
McFarlane's resignation, the Board of Ascalade is currently reviewing its
make-up and structure.
