Globalive intends to enter into debt financing to expand the WIND Mobile network

TORONTO, Feb. 2 /CNW/ - Globalive Wireless Management Corp. (WIND Mobile) today announced its intention to enter into a private debt financing for the purposes of continuing to expand the WIND Mobile network, create new distribution partnerships and for general working capital purposes. Globalive has engaged Canadian and international investment banks to assist in placing the debt financing.

The financing will not impact the ownership and control structure of WIND Mobile.

Any securities offered in connection with the debt financing (i) have not been and will not be registered under the Securities Act of 1933, as amended, and may not be offered or sold in the United States without registration under the Securities Act of 1933, as amended, or pursuant to an applicable exemption from such registration and (ii) may and only will be offered in Canada to accredited investors on a basis exempt from the requirement to file a prospectus.
