VANCOUVER, Nov. 15, 2011 /CNW/ - Prism Resources Inc. (the "Company") (NEX: PRS.H) is pleased to announce it has closed the first tranche
of its previously announced non-brokered private placement (news
release dated September 15, 2011).
The first tranche of the private placement consisted of the issuance of
8,932,997 units (the "Units") at a price of $0.075 per Unit for gross proceeds of $669,975 (the "First Tranche"). Each Unit consists of one common share of the Company (a "Share") and one common share purchase warrant (a "Warrant"). Each Warrant entitles the holder to purchase one additional common
share of the Company at a price of $0.10 until November 15, 2012.
The securities issued under the First Tranche are subject to a hold
period expiring on March 16, 2012. No finder's fees were paid in
connection with the private placement.
The second tranche of the private placement will consist of the issuance
of 4,400,000 units (the "Second Tranche") on the same terms as the First Tranche for gross proceeds of $330,000
(for total gross proceeds of $999,975 from the First Tranche and the
Second Tranche). The closing of the Second Tranche is subject to the
approval of the TSX Venture Exchange.
The net proceeds will be used for asset acquisition investigations,
acquisitions, mineral exploration and for general working capital.
