BRANCHEZ-VOUS! has completed the acquisition of the Showbizz.net and Matin.qc.ca web sites

completed the acquisition of several sites from Genex Communications, as
announced on February 15. The sites acquired by BRANCHEZ-VOUS! include:- Showbizz.net (www.showbizz.net), the leading Quebec site about culture
      and entertainment (movies, TV, music and stars);
    - Matin.qc.ca (www.matin.qc.ca, also known as Matinternet), the only
      independent Quebec site covering general news on a continuous basis;
    - Info-affaires.com (www.infoaffaires.com), a business news site;
    - Cine-Horaire.com (www.cinehoraire.com), the most comprehensive movie
      listings site in Quebec; and
    - CirculationMontreal.com (www.circulationmontreal.com), which allow
      users to get traffic-related information for Montreal, Quebec City and
      Trois-Rivières at a glance.These sites reach approximately one out of ten French-speaking Canadian
Internet users every month.

issued 602,410 common shares at $0.498 per share, for a total consideration of
$ 600,000.
