The purpose of the Venture Capital Forum Canada-France

Since its inception in 2005, the Venture Capital Forum Canada-France has
enjoyed flourishing success throughout the preceding editions. It is not
surprising since it adheres to primary economic growth policies in France as
well as in Canada: Innovations, Advanced Technology and Venture Capital.
In its third edition held on February 12 and 13, 2007 in Montreal, the
Forum will gather French and Canadian investors and entrepreneurs in an event
that will provide them with investment and partnership opportunities, a chance
to exchange points of view and know-how, and most importantly a meeting place
where they can share their entrepreneurial visions.

The objectives of the Venture Capital Forum Canada-France

The Forum encompasses the following objectives:

    1. Identify and select the Canadian and French entrepreneurs' projects
requiring funding in order to present them to participating investors.

15 winners have been identified, chosen and trained by our selection jury
and a partnership with the NRC - IRAP (Industrial Research Assistance Program)
and the CTN (Canadian Technology Network). Among other characteristics, the
winners display a great affinity with Europe in terms of development and
funding research.
2 winners will be invited to speak at the Tremplin Entreprises Forum
organized by the French Senate in Paris in July 2007.

    2. Attend numerous and varied networking activities in order to develop
relationships between the European and Canadian venture capital
       financial communities.

Two luncheons organized before the Franco Canadian community (250
attendees per breakfast) with prominent speakers:

    - Monday, February 12: Mr. Raymond Bachand, Minister of Economic
Development, Innovation and Export Trade of Quebec
    - Tuesday, February 13: Mrs. Martine Charbonnier, Executive Director of
Listing for the Euronext Exchange in Paris

The Forum also partners with Réseau Capital (Venture capital and private
investment association of Quebec) for the presentation of the Canadian and
European venture capital industries' annual statistics. Five hundred members
from the industry form this association.

    3. Bring together French and Canadian investors who share common projects

Scheduled open debates featuring current topics are organized:

    - Internationalizing the venture capital industry: myth or reality
(debate led by Leo Lax, President of Skypoint Capital and Pierre de
      Fouquet, President AFIC)
    - European-Canadian co-investment fund-raising strategy: Example Société
Ambrilia and its Franco Canadian co-investors (Desjardins Venture
Capital - BDC - Turenne Capital)
    - Dual Listing: (debate led by Louis Doyle, Vice-president of the TSX
Venture Exchange and Martine Charbonnier, Executive Director of listing
