TSX Venture Exchange has accepted for filing an Exploration, Development
and Mine Operating Agreement dated April 3, 2007 (the 'Agreement') between
Kobex Resources Ltd. (the 'Company') and U.S. Moly Corp., U.S. Energy Corp.,
and Crested Corp. (collectively the 'Vendors') pursuant to which the Company
has agreed to acquire up to a 65% interest in the Mt. Emmons Molybdenum
Property (the 'Property') located approximately three miles west of Crested
Butte, Colorado, USA.
To acquire the initial 50% interest in the Property, the Company must make
the following payments/expenditures prior to December 31, 2016: (1) make a
payment in cash or shares of the Company ("Shares") of a minimum of
US$3,250,000 and a maximum of US$3,950,000 (where the Company has the election
to expend US$700,000 in expenditures or make an additional cash or Share
payment of US$700,000, or a split of such amount between a cash/Share payment
or expenditures, (the 'Election'), (2) complete not less than a minimum of
US$16,000,000 or a maximum of US$16,700,000 in expenditures on the Property
("Expenditures") (depending on the Election), and (3) deliver to the Vendors a
bankable feasibility study on the Property that includes confirmation of
advanced permitting or the issuance of a mining license.
The option shall be earned as to an initial 15% interest in the Property
at such time as US$15 million in Expenditures has been spent, and as to an
additional 35% interest at such time as the remaining cash payments and
Expenditures have been made, when the bankable feasibility study is delivered
and when the difference between US$50 million and total Expenditures made by
the Company is paid in cash within a 10 year period from the Effective Date,
subject to force majeure.
Upon the Company earning this 50% interest in the Property, The Company
shall be entitled to enter into a 50-50 Joint Venture (the "JV") with the
Vendors or give the Vendors the election to: (1) continue with the JV, (2)
have the Company arrange 100% of future financings for the project for an
additional 15% interest in the Property (65% in the aggregate), or (3) have
the Company acquire all the shares of a newly formed wholly owned subsidiary
of the Vendors by the issuance to the Vendors of up to, but not including, 50%
of the Company's total issued and outstanding shares. If the Vendors elect to
have the Company acquire all of the shares of such subsidiary then the Company
will be required to obtain shareholder and TSX Venture Exchange approval at
that time.
